Client Responsibilities

Clients agree to:

Failure to provide necessary materials or timely feedback may result in project delays.

Intellectual Property

Upon full payment:

Clients receive ownership of the final approved deliverables unless otherwise agreed in writing.
GRACE&KEDY LLC retains ownership of all preliminary concepts, working files, internal processes, templates, and proprietary methods.
Unless a separate confidentiality or non-disclosure agreement is in place, Convert Creative Studio may display completed work in its portfolio, website, or marketing materials.

Refunds

Refund requests are reviewed solely at the discretion of GRACE&KEDY LLC.

Because creative services involve time, expertise, and customized work, refunds are not guaranteed. The Company reserves the right to approve, deny, or partially grant refund requests after considering:

Limitation of Liability

REFUND, CANCELLATION & PROJECT POLICY

Effective Date: July 23, 2026

This Refund, Cancellation & Project Policy applies to all services provided by Convert Creative Studio, a brand owned and operated by GRACE&KEDY LLC.

By purchasing our services, you acknowledge that you have read, understood, and agreed to this Policy.

Project Confirmation

A project is considered officially accepted only after:

Both parties have agreed to the project scope.
The client has approved the quotation or proposal.
The required 50% deposit has been received.
Any requested onboarding information has been provided.

No work will begin until these requirements have been satisfied.

Deposits & Payments

To reserve production time and resources:

A 50% deposit is required before work begins.
The remaining 50% balance is due before final deliverables, source files, or ownership rights are released.

Failure to complete payment may delay or suspend the project.

Project Timeline

Every project is unique.

Delivery schedules depend on:

Project complexity
Content requirements
Client responsiveness
Revision requests
Third-party approvals or resources

Estimated delivery dates are provided in good faith but are not guaranteed.

Client Responsibilities

Clients agree to:

Provide complete and accurate project information.
Submit all required assets, such as logos, branding materials, product images, videos, copy, and other requested content.
Respond to requests for feedback, approvals, or revisions in a timely manner.
Ensure they own or have permission to use any materials supplied to Convert Creative Studio.

Delays caused by the client may result in revised project timelines.

Revisions

Unless otherwise stated in a written agreement:

Each project includes two (2) rounds of revisions.
Revision requests must remain within the originally agreed project scope.
Requests for additional revisions or changes outside the approved scope may require additional fees and revised timelines.

Scope Changes

Any request that significantly changes the agreed project scope may be treated as:

Additional billable work,
A new project, or
An amendment to the existing agreement.

Convert Creative Studio reserves the right to issue an updated quotation before continuing work.

Cancellations

Clients may request cancellation of a project at any time.

If cancellation occurs:

Work already completed will be billed accordingly.
Deposits are generally non-refundable once work has begun.
Any outstanding balance for completed work remains payable.

The Company reserves the right to cancel or suspend a project due to non-payment, abusive conduct, unlawful requests, or other material breaches of the agreement.

Refund Policy

Creative services involve significant professional time, planning, consultation, and customized work.

For this reason:

Refunds are not automatic.
All refund requests are reviewed solely at the discretion of GRACE&KEDY LLC.

The Company reserves the right to approve, deny, or partially grant any refund request after evaluating:

The work completed.
The stage of the project.
Resources invested.
Costs already incurred.
The specific circumstances of the request.

Nothing in this Policy obligates the Company to issue a refund except where required by applicable law.

Project Suspension & Abandonment

If a client becomes unresponsive or fails to provide requested information for 30 consecutive days, the Company may place the project on hold.

If there is no communication for 60 consecutive days, the project may be considered abandoned.

In such cases:

Payments already made are non-refundable.
Any future work may require a new agreement and revised pricing.

Final Delivery

Final deliverables will be released only after:

Full payment has been received.
Any outstanding invoices have been settled.
Required approvals have been completed.

Portfolio Rights

Unless otherwise agreed in writing or covered by a signed Non-Disclosure Agreement (NDA), Convert Creative Studio may display completed work in its:

Portfolio
Social media platforms
Marketing materials
Presentations

This helps demonstrate our capabilities to prospective clients.

Force Majeure

Convert Creative Studio shall not be held responsible for delays or failure to perform caused by events beyond its reasonable control, including but not limited to:

Natural disasters
Power outages
Internet disruptions
Government actions
Labor disputes
Cybersecurity incidents
Public health emergencies
Third-party service outages
